Please read these terms and conditions carefully before accessing any “LOUISE DESIGN STUDIO” materials on our site. 1.2 The support offered by the “LOUISE DESIGN STUDIO” ("us", "we"), to you, the organisation which is participating in the “LOUISE DESIGN STUDIO” ("you", "your", or "participant") through the “Enscape” VR virtual reality experience is solely in relation to the proposition for an innovative product or services, outlined in your application (the "Proposed Innovation"). The direct benefits provided by the “LOUISE DESIGN STUDIO” can only be applied to innovations, products or services 

2. Use of the “LOUISE DESIGN STUDIO” materials assets

You are only permitted to access, use, reproduce and download the “LOUISE DESIGN STUDIO” materials and the “Enscape” VR virtual reality experience available on this website subject to the following conditions: 

2.1. the materials assets are for internal use only if you are an organisation or business of any size, or personal use only if you are an individual; and 

2.2. you may not use, reproduce, distribute, adapt, amend or exploit these materials for any other purpose or in any other medium or form, including for any revenue generating purposes. 

Further, you agree: 

2.3. to restrict access and use of these materials assets only to your employees directors, officers, or agents who agree to abide by the terms of these terms and conditions; 

2.4. not to make the “LOUISE DESIGN STUDIO” and the “Enscape” VR virtual reality experience materials assets available to any third parties; 

2.5. that we may terminate your access to and right to use the “LOUISE DESIGN STUDIO” and the “Enscape” VR virtual reality experience materials assets at any time and that, if this occurs you will stop using the “LOUISE DESIGN STUDIO” materials assets and immediately return them to us at your own expense (including any copies made), or immediately destroy such materials assets if we request you to do so. In addition any third party referred to in paragraph 3.1 below shall have the right require you to return or destroy these materials assets to them directly. 

2.6. You and we agree to co-operate to help you and us get the most out of your participation in the “LOUISE DESIGN STUDIO” and the “Enscape” VR virtual reality experience. You agree to remain open and transparent with us at all times in relation to the Proposed Innovation including before, during and after your time in the “LOUISE DESIGN STUDIO”. If you are aware of any information that you believe would affect the “LOUISE DESIGN STUDIO” position and the “Enscape” VR virtual reality experience, you must inform us immediately. 

2.7.You and we acknowledge that you are acting as a lead organisation, and the development of the Proposed Innovation is shared among the persons and 

organisations listed below. You acknowledge and agree that our relationship in relation to the “LOUISE DESIGN STUDIO” and the “Enscape” VR virtual reality experience is only with you. You agree to indemnify us from and against any claim or complaint brought by a third party, including those listed below, under or in relation to these Terms and Conditions or your participation in the “LOUISE DESIGN STUDIO” and the “Enscape” VR virtual reality experience.

2.8. You agree “LOUISE DESIGN STUDIO” Is using this Innovation service to provide you design services via the “Enscape” VR virtual reality experience online or in VR

headset. Any VR the “Enscape” VR virtual reality experience, is produced by the “Enscape” the company and the organisation provided services that is licensed

3. Intellectual Property Rights 

All the “LOUISE DESIGN STUDIO” materials assets either online or received by emails or any form of methods of downloaded directly are protected by, and subject to, copyright and other relevant intellectual property rights and are owned by various third parties who have licensed their use to us under strict licensing arrangements. If you use these materials assets in a manner or for a purpose not authorised under these terms and conditions, you may be liable to these third parties for infringement of their intellectual property rights. We accept no responsibility, and will not be liable for, any actions by you that result in any such infringement claim. 

3.1. You agree that you remain responsible for your compliance, and your Proposed Innovation's compliance, with all legal and regulatory obligations, whether in respect of data protection law or otherwise. 

4. Law and Jurisdiction 

4.1. These terms and conditions are governed by and interpreted in accordance with English law. 

4.2. Any dispute arising out of or in connection with these terms and conditions shall be subject to the non-Exclusive jurisdiction of England and Wales.
